1.Except with respect to the Customer’s obligation to pay Supplier for delivered goods neither party shall be liable to the other for any delay or failure to perform fully where such delay or failure is caused by events beyond the reasonable control of the affected party and render performance commercially impracticable.The foregoing shall be subject to the affected party giving reasonable notice to the other party
2.Any dispute,controversy or claim arising out of or in connection with this Agreement,including any question regarding its existence,validity or termination (“Dispute”) shall be settled by mutual consultation and consent.In the absence of such consent within 30 days of the date of the first written notice of the existence of Dispute by one party to another party,any such Dispute shall be submitted to China International Economics and Trade Arbitration Commission ("CIETAC") for arbitration which shall be conducted in accordance with the CIETAC’s arbitration rules in effect at the time of applying for arbitration.The language of the arbitration shall be Chinese.The arbitral award is final and binding upon both parties.
