随着中国经济日益与国际接轨，企业价值在经济活动中越来越受到社会的重视，如何科学客观地认识企业的整体价值已成了刻不容缓的经济研究课题。企业经营追求价值最大化,价值评估对企业改进管理、提升价值有重要意义。企业价值评估是一项综合性的资产评估,是对企业整体经济价值进行判断、估计的过程,主要是服从或服务于企业的产权转让或产权交易。伴随着中国经济体制改革的深入和现代企业制度的推行,以企业兼并、收购、股权重组、资产重组、合并、分设、股票发行、联营等经济交易行为的出现和增多,企业价值评估的应用空间得到了极大的拓展,企业价值评估在市场经济中的作用也越来越突出。
本文通过研究企业价值评估的概念及其评估所用的现金流量模型、经济利润模型、剩余价值模型等各种模型，进一步分析了企业价值评估的各种模型的特点及其优缺点，对企业价值评估的各种模型进行评估，并对如何合理选择与运用各种价值模型提出自己的建议和看法。

As a general capital assessment method, such kind of valuation is a process making an entire appreciation and estimation on the economic value of enterprise, which mainly contributes to Property transfers and Transactions. Following the steadily penetration of China's economic reform
and implementation of modern enterprise system, resulting the emerge and increase of such economic tread activities as merger,acquisitions,recapitalization,Asset restructuring, combilation and division, IPO (Initial Public Offering) and Associate functioning, the application of enterprise valuation has been developing extensively and playing a more salient role in the maketing economy.
This article ,in virtue of a variety of models concerning Cash flow,Economic profit and Residual value,steps up its analysis on the characters and relative merits and disadvantages of various enterprise valuation models. And it makes valuation on these models above-mentioned ,and also brings forward its own opinions over how to rationize the forthputting of them.
