摘 要
新《公司法》的制定是我国公司立法上的新里程碑,一人公司的正名更是众望所归,但是新《公司法》对一人公司的制度设计也还有令人遗憾的地方.其中最明显的一个缺陷就是立法者只明确规定了设立的一人公司的法律地位,却未明确存续的一人公司的法律地位,以及二者之间的帝l度衔接.本文力图从理论上厘清存续的一人公司确立的必要性及其法律特征从而对公司法的完善提出些许建议.2006年1月1日,新《公司法》正式实施,一人公司制度的正式确立是该法的一大亮点,结束了长时间的争论,一人公司终于在我国的公司立法上得到了明确的肯定.这是我国公司立法史上的一大进步,但是新《公司法》对一人公司的制度设计也还有令人遗憾的地方.其中最明显的一个缺陷就是立法者只明确规定了设立的一人公司的法律地位,却未明确存续的一人公司的法律地位,以及二者之间的制度衔接.这将对《公司法》的实际操作造成一定的麻烦.本文力图从理论上厘清存续的一人公司确立的必要性及其法律特征,并对《公司法》的完善提出一些建议.

第二部分中阐述了各国一人公司立法例的考察和评析.
